DeciMetrics Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the DeciMetrics platform, applications, websites, and related services (the “Services”) provided by VERAVECTOR OÜ, an Estonian company (registry code 17321530) (“DeciMetrics”, “we”, “us”, or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1) Eligibility & Account Registration
You must be at least 18 years old and have legal capacity to enter into these Terms. You are responsible for all activity that occurs under your account and for keeping your credentials secure. Provide accurate, complete information and keep it updated.
2) Subscriptions, Trials, Fees & Taxes
Access to the Services may require a paid subscription or participation in a pilot program. Prices, plan features, and billing cycles are shown at checkout or in your admin panel. Unless stated otherwise, subscriptions auto-renew until canceled. You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable. You authorize us and our payment processors (e.g., Stripe) to charge your payment method for all due amounts. Prices are exclusive of taxes; you are responsible for applicable taxes, duties, and charges.
Pilot/Trial Access. Pilot and beta programs may be offered on a no-cost or discounted basis, for a limited time and scope, and may require your feedback. Such access is provided “as is”, may be limited or discontinued at any time, and may differ from generally available Services.
3) Acceptable Use
You agree not to: (a) violate any law or third-party rights; (b) probe, scan, or test the vulnerability of the Services; (c) bypass security or access controls; (d) interfere with or disrupt the Services; (e) upload malware or harmful code; (f) use the Services to generate, store, or transmit illegal, harmful, infringing, or deceptive content; (g) resell, sublicense, or provide the Services to third parties except as permitted by your plan; (h) misuse rate limits or APIs; or (i) attempt to reverse-engineer, decompile, or derive source code from the Services except to the extent permitted by law.
The quality and reliability of decision support outputs depend heavily on the data you provide.AI outputs require your independent review, validation, and judgment. You are responsible for ensuring your inputs and outputs comply with these Terms and the law.
4) Your Content & License to Us
You own the content you submit to the Services (“User Content”), including decision contexts, criteria, alternatives, ratings, justifications, files, prompts, and outputs. You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and otherwise use your User Content solely to provide and improve the Services to you, including for security, support, troubleshooting, and backup purposes. We do not claim ownership of your User Content.
You represent and warrant that you have all necessary rights to submit the User Content and that it does not violate any law or third-party rights. For sensitive information, consider anonymization or abstraction before upload, especially when using AI assistance features.
5) Data Protection & Privacy
Our processing of personal data is described in our Privacy Policy, which forms part of these Terms. Data is primarily hosted in the EU (Estonia). When using third-party providers (e.g., AI model APIs), we implement appropriate safeguards for international transfers.We do not use your specific User Content to train third-party AI models.
If you require a Data Processing Addendum (DPA) for GDPR compliance, please contact us; a standard DPA is available upon request for paid plans.
6) AI Features & Outputs — No Advice; Human-in-the-Loop
The Services include AI-assisted features that may generate text or recommendations based on your inputs and context.AI outputs are probabilistic and may be inaccurate, incomplete, or unsuitable for your use case.The Services are decision support tools and do not constitute legal, financial, medical, or other professional advice. You remain solely responsible for your decisions and outcomes.
7) Confidentiality
Each party may access the other’s non-public information that is identified as confidential or should reasonably be understood to be confidential (“Confidential Information”). Each party will use the other’s Confidential Information only to perform under these Terms and will protect it using at least reasonable care. This section does not restrict disclosures required by law, provided reasonable notice is given (where lawful) to allow the disclosing party to seek protective measures.
8) Intellectual Property; Feedback
We and our licensors own the Services, including software, UI/UX, documentation, integrations, and brand elements. Methods like AHP/DEMATEL are academic frameworks; our specific implementations and platform are proprietary. If you provide feedback or suggestions, you grant us a perpetual, worldwide, royalty-free right to use them without restriction or obligation to you.
9) Third-Party Services & Open Source
The Services may interoperate with third-party services (e.g., payment, analytics, AI APIs) subject to their terms. We are not responsible for third-party services. The Services may contain or use open-source components, which are provided under their respective licenses. In case of conflict, applicable open-source licenses govern those components.
10) Availability, Support & Modifications
We strive to keep the Services available and performant but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue features at any time, with notice where feasible. Support levels (if any) are described in your plan documentation.
11) Warranties & Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT OUTPUTS WILL MEET YOUR NEEDS.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER DECIMETRICS NOR ITS SUPPLIERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR €200, WHICHEVER IS GREATER. Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the fullest extent permitted by law.
13) Indemnification
You will defend, indemnify, and hold harmless DeciMetrics from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your User Content, your misuse of the Services, or your violation of these Terms or applicable law.
14) Term, Suspension & Termination
These Terms remain in effect while you use the Services. We may suspend or terminate access for violations, non-payment, security risks, or to comply with law. You may terminate by closing your account. Certain sections (e.g., confidentiality, IP, disclaimers, limitations, indemnities) survive termination.
15) Export Controls & Sanctions; Anti-Corruption
You represent that you are not subject to sanctions and will not use the Services in violation of export control or sanctions laws (including EU, UK, and U.S. law). You will comply with anti-bribery and anti-corruption laws (including the UK Bribery Act and FCPA).
16) Publicity
For paid B2B plans, we may use your name and logo to identify you as a customer on our website and marketing materials, unless you opt out by notifying us in writing.
17) Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via the Service and/or email. Your continued use after changes become effective constitutes acceptance of the updated Terms.
18) Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Estonia, without regard to conflict of law rules. The parties will attempt to resolve disputes amicably. Failing that, disputes shall be brought in the competent courts of Estonia, and the venue shall be Tallinn, to the extent permitted by law.
19) Miscellaneous
These Terms constitute the entire agreement between you and us regarding the Services and supersede prior agreements. If any provision is held invalid, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices may be provided via the Services, email, or your account contact details.
